Who we are

The AR Agent is a trading name of Futureproof Tech Ltd, a company registered in England and Wales with company number 12482223, whose registered office is at Rhj Accountants, 99 Parkway Avenue, Sheffield, England, S9 4WG. In these terms, “The AR Agent”, “we”, “us” and “our” mean Futureproof Tech Ltd.

These terms apply to the business that signs up (“you”) and to everyone you give access to. By using The AR Agent you agree to them on behalf of that business. The AR Agent is for businesses, not for personal or household use.

What The AR Agent does

The AR Agent helps you collect overdue invoices. Once you connect your accounting system and your mailbox, it reads your open invoices, payments and customer contacts, reads the email conversations about them, works out what each customer needs, and drafts follow-up emails.

How drafts are sent depends on the settings you choose. In review mode, nothing is sent until a person in your team approves it. If you switch on a more automatic mode, routine messages may be sent without a person approving each one, within the rules that mode applies. You can change the mode, pause a customer or pause the agent at any time.

With your approval, The AR Agent can also make two kinds of change in your accounting system: updating a customer's contact or billing email, so invoices reach the address the customer asked for, and adding a customer's purchase order number to an invoice's reference. It cannot change invoice amounts or lines, payments or credit notes.

Your account

You must be authorised by your business to connect its accounting system and mailbox and to accept these terms for it.

You decide who in your team has access, and you are responsible for what they do with it. Remove people who no longer need access; removing them also ends any AI assistant connection they made.

Keep your sign-in secure and tell us straight away if you think someone has used your account without permission.

Your responsibilities

Messages approved by your team, or sent under an automatic mode you switched on, are sent from your mailbox on your behalf. You are responsible for them, including their content and for making sure your collection activity complies with the laws that apply to you and your customers.

You are responsible for the accuracy of the information in your accounting system and mailbox. The AR Agent works from that information, so if an invoice is wrong there, a message about it may be wrong too.

The AR Agent is a tool to help you chase payment. It does not give legal, tax or financial advice, and it is not a debt collection agency.

AI-generated content

Drafts, summaries and answers are produced with the help of AI models. They can contain mistakes. Read drafts before you approve them, especially anything about amounts, dates, disputes or legal action.

We design The AR Agent to check its work against your records before anything is sent, and to stop and ask a person when something needs judgement. Those checks reduce mistakes; they do not remove the need for you to review what goes out in your name.

We do not use your data to train AI models.

Connected services

The AR Agent connects to services you choose, such as Xero, QuickBooks, Gmail and Slack, and you can connect AI assistants such as ChatGPT and Claude to it. Your use of those services is governed by their own terms, and we are not responsible for them.

When you connect an AI assistant, it can read your collections information and ask The AR Agent for drafts, which wait for approval in The AR Agent. It cannot send emails, approve drafts or change your accounting system. What the assistant does with the information it receives is governed by its provider's terms.

You can disconnect any connected service at any time. Some features stop working while a service is disconnected.

Your data

Your data stays yours. You give us permission to use it only to provide and support The AR Agent for you.

Our privacy notice explains what we collect and how we handle it. Where we process personal data about your customers and contacts on your behalf, we do so as your processor, following your instructions and the data processing terms we make available to you.

If you ask us to close your account, we will delete your data within 30 days, except anything we need to keep by law.

Acceptable use

You must not use The AR Agent to:

  • chase money that is not owed to your business
  • send messages that are threatening, harassing, misleading or unlawful
  • contact people who have asked not to be contacted, where the law gives them that right
  • try to get into other customers' data, or to probe, overload or disrupt the service
  • copy, resell or reverse engineer the service

We may suspend access if we reasonably believe the service is being used in breach of this section, and we will tell you why.

Fees

The AR Agent is currently offered free during a trial. We will agree any fees with you in writing before a paid plan starts, and nothing is charged without that agreement.

Changes to the service

The AR Agent is new and we improve it often. We may add, change or remove features. If a change materially reduces what the service does for you, we will tell you in advance where we reasonably can.

We aim to keep the service available but cannot promise it will always be uninterrupted or free of errors.

Ending the service

You can stop using The AR Agent at any time by disconnecting your services and asking us to close your account.

We may end or suspend your access if you seriously or repeatedly break these terms, or if we stop providing The AR Agent, in which case we will give you reasonable notice and help you get your data out.

Our liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

Otherwise, we are not liable for indirect or consequential loss, or for loss of profit, revenue, business or goodwill, and our total liability to you for anything arising from these terms or the service in any 12-month period is limited to the greater of the fees you paid us in that period and £100.

We are not responsible for messages approved by your team or sent under an automatic mode you chose, or for losses caused by inaccurate information in your own systems.

Intellectual property

We own The AR Agent and everything we provide as part of it. You may use it for your business while these terms apply. Messages drafted for you, once you approve them, are yours to use.

Confidentiality

We keep your business information confidential and use it only to provide the service, unless the law requires us to disclose it.

Changes to these terms

We may update these terms. If a change is significant, we will tell you before it takes effect. The date at the top shows when they last changed.

Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
